These Terms of Service ("Terms") govern access to and use of the ProfileWave website and our managed buying-intent research and contact-enrichment service (the "Service"), provided by ProfileWave ("we," "us"). By engaging us or using the Service, you agree to these Terms on behalf of yourself and, if applicable, your organization.
1. The Service
ProfileWave is currently delivered as a managed service: a customer sends us a target list or a brief, and we research, verify, and enrich it with buying-intent signals and contact details, returning the results as a custom export. The specific scope, signals, and deliverables for a given engagement are agreed with each customer directly (for example, on a call) rather than fixed by a self-serve plan.
2. Eligibility and accounts
You must be authorized to act on behalf of the organization you represent when engaging us. You're responsible for the accuracy of any list or brief you provide us.
3. Acceptable use
You agree not to use the Service, or any data we deliver, to:
- Violate applicable law, including anti-spam (e.g. CAN-SPAM), telemarketing (e.g. TCPA), or data protection law (e.g. GDPR, CCPA);
- Harass, stalk, or attempt to harm any individual identified in a delivered list;
- Resell or redistribute delivered data as a standalone data product, outside the scope agreed for your engagement;
- Attempt to reverse-engineer, scrape, or interfere with our website or systems.
4. Fees and payment
Fees for a given engagement are agreed with the customer before work begins. Unless otherwise agreed in writing, invoices are due on the terms stated on the invoice, and we may pause or decline further work on overdue accounts.
5. Data accuracy
We research and verify signals and contact details in good faith and attach a source and date to what we deliver, but buying-intent research inherently draws on third-party and public information that can be incomplete, outdated, or inaccurate. We do not guarantee that any signal, score, or contact detail is complete or error-free.
6. Intellectual property
We retain ownership of our research methodology, software, and any aggregate or de-identified insights we develop. Deliverables provided for a specific engagement (the enriched list itself) are for that customer's use as agreed at the time of the engagement.
7. Confidentiality
Each party will use the other's confidential information only as needed to perform under these Terms and will protect it with reasonable care.
8. Disclaimers
The Service and website are provided "as is." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, ProfileWave will not be liable for indirect, incidental, or consequential damages, and our total liability for any claim arising from the Service will not exceed the fees paid for the engagement giving rise to the claim.
10. Termination
Either party may end an ongoing engagement as agreed in that engagement's terms, or, absent a specific agreement, with reasonable written notice.
11. Governing law
These Terms are governed by the laws applicable at ProfileWave's place of business, without regard to conflict-of-law principles, unless a signed agreement with a customer states otherwise.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above.
